End User Agreement

1. General Terms of Use
1. 1 This User Agreement constitutes the agreement between Memorywalk, and YOU as a user who connects to our website Memorywalk.ca via the world wide web.
1.2 You, the user, are completely responsible for adhering to the terms and conditions that this agreement provides. Abiding by all provisions to this agreement is mandatory by lawful considerations.
1.3 At any time, and for any reason, Memorywalk reserves the right to change, modify, replace, discontinue, or add any information or promotions that are viewed on this site.

MEMORYWALK IS NOT RESPONSIBLE FOR ANY THIRD PARTY LINKS THAT APPEAR ON THIS SITE AT ANYTIME. IF IN ANY CIRCUMSTANCE YOU VISIT A THIRD PARTY SITE THROUGH MEMORYWALK.CA, PLEASE READ THE THIRD PARTIES END USER AGREEMENT.

2. Use of Information
2.1 You, the user, must adhere to using this site for only lawful purposes. All images, information, including contact information will be prohibited in any other use besides Memorywalks lawful intentions.
2.2 You, the user, will take all responsibility for any damages done due to unlawful remarks, comments, or postings of any information in a form or email on this site. You agree to only providing truthful information while warranting that all information given is in fact your own.
2.3 When submitting photographs, information, and/or video to Memorywalks possession you:
1. Recognize the approval of the sale.
2. Give a worldwide royalty-free right to Memorywalk of all the materials sent. Memorywalk may modify, reproduce, and/or advertise the materials solely under Memorywalks name.

2.4 Disclaimer
UNLESS EXPRESSLY PROVIDED OTHERWISE IN A SEPARATE AGREEMENT BETWEEN YOU AND Memorywalk Inc, ALL INFORMATION AND PRODUCTS ON AND FROM THIS SITE ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Memorywalk ASSUMES NO RESPONSIBILITY FOR ERRORS OR OMISSIONS IN THE INFORMATION OR MERCHANDISE OR OTHER DOCUMENTS AT, REFERENCED BY, OR LINKED TO THIS SITE. YOU ASSUME THE ENTIRE RISK FOR THE RESULTS AND PERFORMANCE OF THE PRODUCTS WE PROVIDE. HAS NO LIABILITY FOR ERRORS OR OBLIGATION TO UPDATE Memorywalk Inc PRODUCTS WHICH COULD INCLUDE TECHNICAL OR OTHER INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN; Memorywalk Inc MAY MAKE IMPROVEMENTS and/or CHANGES TO THIS WEBSITE AND ANY OTHER PRODUCT(S) OR PROGRAM(S) DESCRIBED ON OUR SITE AT ANY TIME. Memorywalk Inc HAS NO OBLIGATION TO NOTIFY YOU OF ANY CHANGES OF THE SOFTWARE OR ANY OTHER PRODUCTS OR PROGRAMS. THESE CHANGES WILL BE INCORPORATED AT Memorywalk Inc SOLE DISCRETION.

2.5 Idemnity
You agree to defend, indemnify and hold Memorywalk Inc and its partners and its suppliers harmless from and against any and all claims, losses, liability costs and expenses (including but not limited to attorneys fees) arising from Your violation of these Terms of Service (including, without limitation, violation of applicable Additional Terms), or any third-party rights, (including, without limitation, infringement of any copyright, violation of any proprietary right and invasion of any privacy rights). These obligations will survive any termination of Your relationship with Memorywalk Inc and its partners or Your use of Memorywalks products and/or services.

2.6. Terms related to fees and billing
All Memorywalk products are associated with a fee. Most fees must be payed before items are shipped, while others will be invoiced. You are solely responsible for all charges, fees, duties, taxes, and assessments arising out of any use of Your Memorywalk account by you or anyone else using Your account. Memorywalk reserves the right to modify the fees charged for Memorywalk products and services at any time. All transactions currently must be payed via PayPal. Negotiations on other payment options will not be accepted. Memorywalk Inc will not be liable for any shipping, duty, tax, miscallaneous expenses of any kind. Items may not be returned due to external billing factors that may arise. (i.e. Duty and/or taxes). We do not guarantee that all products will be completed within 48hours. Memorywalk will not be held liable to unforseen circumstances resulting in a late delivery. Our 48 hour stipulation adheres to only our Dropbox shipping option but also without guarantee due to possibilities of unforseen circumstances. (I.E. High demand, natural disaster, death in family of employees.)

2.7 Termination, Cancellation or Suspension; Refunds
Memorywalk Inc and its partners, in its discretion, may terminate, cancel, or suspend an accepted order if Memorywalk Inc and its partners is notified that Your Payment Method has expired or has been cancelled, or if Memorywalk Inc has reason to believe that any Billing Account information provided to Memorywalk Inc is untrue, inaccurate, not current or incomplete. Termination, cancellation or suspension, whether by you or Memorywalk Inc, will not alter Your obligation to pay all charges made to Your Billing Account before such termination, cancellation or suspension (including charges made after termination by you but before Memorywalk Inc could reasonably act on Your termination notice ). Subject to any withdrawal right you may have under applicable law, You will not be entitled to any refunds upon termination, cancellation or suspension. If there are any problems with your order please contact Memorywalk and a resolution will be sought.

2.8 Reselling Memorywalk Products
Memorywalk Inc DOES NOT ALLOW ANY RESELLING OF ITS PRODUCTS UNLESS OTHERIZED TO DO SO BY Memorywalk Inc.
